Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and SENDNXT (“SENDNXT”, “we”, “us”) for your use of the SENDNXT website and platform (the “Service”). By creating an account or using the Service you accept these Terms. If you do not agree, do not use the Service.

2. Eligibility and account

You must be at least 18 years old and able to form a binding contract to use SENDNXT. You must sign in through Facebook Login and connect one or more Facebook Pages you own or have permission to manage. You are responsible for keeping your account credentials safe and for all activity on your account.

3. What SENDNXT does

SENDNXT lets you send Messenger broadcasts and sequences to people who have messaged your Facebook Pages, and (where available) SMS campaigns. The Service relies on Meta's Messenger Platform and on third-party SMS providers, and is subject to their availability and rules.

4. Your responsibilities (Acceptable Use)

You agree that you will not:

• Send messages that violate Meta's Messenger Platform Policy or Community Standards.
• Use Messenger message tags for anything other than their stated purpose. Tags may not be used for promotional content.
• Send standard Messenger messages outside the 24-hour window after a user's last inbound message.
• Continue to message a user after they have opted out (e.g. by sending “stop” or “unsubscribe”).
• Upload, paste, or otherwise import contacts. Contacts must originate from inbound webhook events on a Page you own.
• Reuse a Page-scoped ID (PSID) from one Page to message users on a different Page.
• Send content that is unlawful, deceptive, harassing, hateful, sexually explicit, or that promotes regulated goods or fraud.
• Attempt to circumvent rate limits, security controls, or platform policies, or interfere with the operation of the Service.

We may suspend or terminate your account immediately if we reasonably believe you have violated these rules or if we are required to do so by Meta or a regulator.

5. Plans, billing, and trials

• Subscription pricing and limits are described on our pricing page. We may change prices on prospective renewals; we will give you reasonable notice before a change applies to your subscription.
• SaaS subscription.The monthly fee covers access to the SENDNXT platform — campaign builder, sequences, analytics, and Messenger broadcasts within your plan's limits.
• SMS wallet (separate from the subscription). SMS sending is metered. You pre-load a digital wallet inside SENDNXT, and each SMS is debited at the rate displayed at the time of top-up. Plans that include bundled SMS credits consume those credits first; once they are exhausted, sends draw from your wallet.
• If your plan includes a free trial, you can cancel before the trial ends with no charge. Otherwise, fees are billed in advance for each billing period.
• If a payment fails, we may suspend sending until payment is made.

No-refund policy

Because SENDNXT is a digital service with immediate access on purchase, all payments — subscription fees and SMS wallet top-ups alike — are final and non-refundable, except where applicable law requires otherwise. This includes partial usage, non-usage, dissatisfaction, and unused SMS credits. By subscribing or topping up, you confirm that you understand SENDNXT's features and accept this policy.

6. Chargebacks and payment disputes

You agree not to initiate unjustified chargebacks or payment disputes against SENDNXT. If you believe a charge is incorrect, contact us first at support@sendnxt.com and we will investigate.

If a dispute is filed without contacting us first:

• your account may be suspended or permanently terminated;
• we may submit evidence of your acceptance of these Terms and your usage of the Service to the payment processor;
• you remain responsible for any outstanding fees, plus chargeback handling fees passed through by the processor.

Repeated or fraudulent disputes may be referred to collection or to the relevant authorities.

7. Your data and your contacts

You retain all rights in the messages you send and the contact data you collect through your Pages. You grant SENDNXT a worldwide, royalty-free license to host, store, transmit, and process that content solely to operate the Service for you.

Our handling of personal data is described in our Privacy Policy. You are responsible for complying with the laws that apply to your messaging (e.g. consent, data protection) in the jurisdictions where your contacts live.

8. Third-party platforms

The Service depends on Meta and on SMS providers. We are not responsible for outages, policy changes, or actions by those third-party platforms (including Meta suspending or revoking your Page's ability to send Messenger messages).

9. Termination and account deletion

You can stop using the Service at any time. To permanently delete your account and all associated data, use the in-app deletion in Settings, or follow the steps in our Data Deletion instructions.

We may suspend or terminate your account if you breach these Terms, if your use poses a risk to SENDNXT or Meta, or if a third-party provider requires us to. On termination, your right to use the Service ends immediately. Sections that by their nature should survive (e.g. §7 license, §10 disclaimers, §11 liability, §13 governing law) will survive termination.

10. Disclaimer and no guarantees

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, SENDNXT disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

SENDNXT provides tools and infrastructure only. We do not guarantee:

• any business result, income, conversion, or sales outcome;
• message delivery, open, click, or engagement rates — these depend on Meta, telecom carriers, and the recipients themselves;
• uninterrupted or error-free operation, or continuous availability of third-party platforms (Meta, SMS providers, payment processors);
• that Meta or any SMS provider will continue to allow your Page, phone number, or sending pattern.

Your results depend on your actions, your audience, and external factors outside our control.

11. Limitation of liability

To the fullest extent permitted by law, SENDNXT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. SENDNXT's total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months immediately before the event giving rise to the claim.

12. Indemnity

You will defend and indemnify SENDNXT against any third-party claim arising out of (a) your messages or campaigns, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

13. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the courts located in Metro Manila, except where applicable law gives you the right to bring a claim in your local courts.

14. Changes

We may update these Terms from time to time. If we make material changes we will post the updated Terms here and update the effective date. Continuing to use SENDNXT after a change means you accept the updated Terms.
